Export business regulations for all matters with hadewe
(Hainhölzer Dental-Werkstatt GmbH), valid as of 16.08.2006

distributorship
hadewe only deals through distributors, and the distributors in their respective countries have to handle all matters with the end customers. hadewe is not responsible or bound to any agreements made between it's distributors and their end customers. 
Should hadewe sell any product to an end customer (because there's no distributor in the respective country, or on demand of a distributor), the end customer accepts to be treated as a distributor in any way.

prices and quotations
All prices might be changed without notice at any time (the distributor is allowed to return the  product, if this happens without notification).

delivery time and date
The delivery time and confimed dates may change without notice at any time, and hadewe will not accept any costs related to this from it's distributors. The delivery dates confimed by hadewe are always the dates of shipping (not arrival dates at the distributors).

ownership
The goods remain the property of hadewe until they are fully paid, and are not to be part of any other business matter (p.e. repairs).

warranty and repair regulations
For all warranty and repair matters only the hadewe export warranty agreements are valid. hadewe never accepts any other agreements in these matters.

freight cost and insurance
All cost freight, packaging and insurance will have to be paid by the distributor. This also includes cost for possible shipments containing replacement goods or part delivery. Even if  hadewe caused the matter, hadewe does not accept any freight or insurance cost.

court of justice/law
The court of justice/law for all matters concerning delivery, payment and all other business matters is always Hannover, Germany.

opposing purchase agreements
For all international business relations and matters between hadewe GmbH and our distributors, only these business regulations are valid, and hadewe does not accept any other agreements. If a distributor has any general or purchase agreements, which oppose any of the matters listed here, we hereby especially decline the approval of such. We do not accept any other regulations but those listed here, and the distributor/buyer accepts this with the purchase of any goods.
